CityScout Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CityScout platform, including our website, applications, data products, and related services (collectively, the "Services"). CityScout is operated by CityScout, Inc. ("CityScout," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility and Account Registration
You must be at least 18 years old and have the authority to enter into a binding agreement to use the Services. To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
CityScout reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or pose risk to the platform or other users.
2. Description of Services
CityScout provides early-stage real estate development intelligence, including but not limited to zoning and entitlement data, planning commission filings, project metadata, contact enrichment, alerts, analytics, and market-level insights ("CityScout Data"). The Services are intended for informational and business use only.
CityScout does not guarantee that any project, filing, or development identified through the Services will proceed, be approved, or be economically viable.
3. Subscription Plans, Markets, and Credits
Certain features of the Services require a paid subscription. Pricing, plan features, credit allotments, and market access are described at the time of purchase and may change from time to time.
Markets represent defined geographic segments, which may include counties, cities, or sub-regions of a metropolitan statistical area.
Credits are units that may be used to unlock premium data such as project details, documents, or contact information.
Credits have no cash value, are non-transferable, and may expire as described in your plan. Unused credits do not roll over unless expressly stated.
4. Permitted Use and Restrictions
You may use the Services solely for lawful internal business purposes. You agree not to:
Resell, sublicense, or redistribute CityScout Data except as expressly permitted
Scrape, crawl, or systematically extract data from the Services
Use the Services to send spam or unsolicited communications
Reverse engineer, decompile, or attempt to derive source code or underlying datasets
Misrepresent your identity or affiliation
CityScout may throttle, limit, or suspend access if usage exceeds reasonable or plan-based limits.
5. Data Accuracy and No Professional Advice
CityScout aggregates data from public records, third-party sources, and proprietary processes. While we strive for accuracy, CityScout does not warrant that data is complete, current, or error-free.
The Services do not constitute legal, financial, investment, zoning, or development advice. You are solely responsible for verifying information and making independent business decisions.
6. Intellectual Property
All content, software, methodologies, datasets, and branding associated with the Services are owned by CityScout or its licensors and are protected by intellectual property laws.
Subject to these Terms, CityScout grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term.
7. User Content and Feedback
If you submit feedback, suggestions, or other content to CityScout, you grant us a perpetual, irrevocable, royalty-free right to use, modify, and incorporate such feedback into our Services without compensation.
8. Termination
You may cancel your subscription according to your plan terms. CityScout may suspend or terminate your access at any time for violation of these Terms, non-payment, or misuse of the Services.
Upon termination, your right to access the Services will cease. Sections that by their nature should survive termination will survive.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CITYSCOUT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITYSCOUT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CITYSCOUT’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CITYSCOUT IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless CityScout and its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Services or violation of these Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee.
13. Changes to Terms
CityScout may update these Terms from time to time. Material changes will be posted on the website or communicated to users. Continued use of the Services constitutes acceptance of the updated Terms.
